Governance

The charity is registered with the Charity Commission and is a company limited by guarantee. It is governed by its Memorandum and Articles of Association as amended by Special Resolution on 1 July 1987, 1 July 1996 and 15 September 2007.

The Trust operates in Hertfordshire and the London Boroughs of Barnet, Enfield, Harrow and Hillingdon (“Middlesex”).

The Trust is an independent member of The Wildlife Trusts (TWT), a partnership of 47 local Wildlife Trusts and the Royal Society of Wildlife Trusts (RSWT).

For the purposes of the Companies Act 2006, Trustees are Directors and the Council of Management is regarded as the Board of Directors of the Company.

The Council of Management, which can have between eight and twelve members, administers the charity and meets six times a year. Specialist advice is given to Council by the following committees which meet quarterly:

• Finance and Resources Committee
• Conservation, Community and Education Committee; and
• Health and Safety Working Group.

There is also an Accommodation Task Group which meets as required.
